Terms and Conditions of Use

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and KothaBot ("we", "us", or "our"), governing your access to and use of the HisabBot mobile application, website (https://hisab.kothabot.ai.bd), and related software services.

By downloading, installing, accessing, or evaluating the HisabBot application, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the application.

1. Scope of the Application

HisabBot is an offline-first conversational digital ledger designed for Bangladeshi retail shops, small businesses, and sole proprietors. It allows users to track customer credit (বাকি), payments received (জমা), and cash sales (নগদ) using conversational Bangla voice input or manual keyboard entry.

2. Mandatory User Verification Responsibility

HisabBot employs advanced artificial intelligence to assist with speech recognition and transaction data structuring.

3. Beta / Prototype Software Release

You acknowledge that the current distribution of HisabBot is a prototype and beta evaluation release provided for field testing, validation, and feedback.

• Backup Recommendation: You are strongly advised to maintain a parallel backup or written record of critical shop finances.
• Availability: While manual entry is 100% functional offline, voice transcription requires an active internet connection. Features may be modified, refined, or updated based on user evaluation.

4. User Conduct and Restrictions

You agree to use HisabBot only for lawful business or personal accounting. You agree not to:

• Decompile, reverse-engineer, disassemble, or attempt to derive the source code of the application.
• Use the app to conduct fraudulent, deceptive, or unlawful financial activities.
• Interfere with or disrupt the security or network communication of the application or backend APIs.

5. Financial Communications and Due Reminders

HisabBot includes helper handoffs allowing you to call debtors via the native Android dialer or generate preformatted WhatsApp/SMS reminder messages.

• All calls and messages are initiated strictly under your direct review and confirmation.
• HisabBot never transmits automated messages in the background without your explicit action.
• You are solely responsible for compliance with applicable telecommunications and anti-harassment regulations when sending debt reminders to your customers.

6. Intellectual Property Rights

All right, title, and interest in and to HisabBot, including software code, UI designs, brand names, the HisabBot logo, and documentation, are and remain the exclusive property of KothaBot.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, HISABBOT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL KOTHABOT, ITS FOUNDERS, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, COMMERCIAL DISPUTES WITH STORE CUSTOMERS, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE APPLICATION.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law principles.
